Terms of Service

The agreement that governs your use of IRANCO Premium's website and export services.

Important: By using our website or placing an order, you agree to be bound by these Terms of Service. Please read them carefully before proceeding.

Acceptance of Terms

These Terms of Service constitute a legally binding agreement between you ("Client," "Buyer," or "User") and IRANCO Premium ("we," "us," or "our"). By accessing our website, submitting an inquiry, placing an order, or engaging our export services in any capacity, you unconditionally accept these terms.

If you are accepting these terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these terms. If you do not have such authority, or if you do not agree to these terms, you must not use our services.

These Terms of Service apply to all interactions with IRANCO Premium, including but not limited to browsing our website, submitting quote requests, requesting product samples, placing purchase orders, and receiving export shipments.

We reserve the right to modify these terms at any time. Material changes will be communicated via email or a prominent notice on our website. Continued use of our services after changes constitutes acceptance of the updated terms.

Our Services

IRANCO Premium provides the following services to importers, distributors, and buyers worldwide:

Coordination with freight forwarders and carriers for international delivery under agreed Incoterms.

Service Availability: We reserve the right to modify, suspend, or discontinue any service at any time without prior notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of services. We may also impose limits on certain features or restrict access to parts of our services without notice.

User Accounts & Registration

Certain features of our website and services may require you to provide contact and business information. You agree to provide accurate, current, and complete information and to keep it updated throughout your business relationship with us.

You are responsible for maintaining the confidentiality of any access credentials or account information.

You are responsible for all activities conducted through your account or using your contact details.

You must notify us immediately of any unauthorized use of your account or any security breach.

We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion.

You may not use another person's or company's account without their express written permission.

We may require you to provide proof of identity or business registration before processing large orders.

Orders & Quotations

A Quotations

  • All quotations are provided in good faith based on current market conditions and available stock.
  • Prices in quotations are held for 5 business days from the date of issuance unless otherwise stated.
  • Quotations are subject to change due to exchange rate fluctuations, freight cost changes, or supply variations.
  • A quotation does not constitute a binding offer until confirmed by a formal purchase order and our written acceptance.
  • We reserve the right to decline any order, including those based on valid quotations, without stating a reason.

B Order Confirmation

  • A binding contract is formed only upon our written order confirmation and receipt of the required deposit.
  • Orders must be placed in writing via email or our official inquiry form.
  • Product specifications, packaging, labeling, and incoterms must be agreed upon in writing before production or sourcing commences.
  • Minimum Order Quantities (MOQ) apply to all products and are stated in our product catalogue. MOQs may be negotiated for new clients.
  • We may split or combine shipments with prior written agreement from the buyer.

C Order Cancellation

  • Orders may be cancelled within 48 hours of written confirmation at no charge, provided production has not commenced.
  • Cancellations after the 48-hour window may result in forfeiture of the deposit.
  • For custom-packaged or private label orders, cancellation after production commences may incur up to 100% of the order value.
  • We reserve the right to cancel orders due to stock unavailability, force majeure, or export restrictions, with a full refund of any deposit paid.

Payment Terms

Currency

All prices are quoted in USD unless otherwise agreed. We may accept EUR, AED, or GBP at the prevailing exchange rate on the date of invoice.

Invoicing

A proforma invoice is issued upon order confirmation. A commercial invoice is provided with shipping documents.

Late Payment

Late payments accrue interest at 1.5% per month on the outstanding balance. We reserve the right to suspend future orders for accounts with overdue balances.

🏦

Bank Charges

All bank charges and transfer fees on the buyer's side are borne by the buyer. We cover charges on our receiving bank.

Shipping & Delivery

Incoterms

We support EXW, FOB, CFR, CIF, DAP, and DDP. The agreed Incoterm determines the point at which risk and cost transfer from IRANCO to the buyer.

Delivery Timelines

Standard lead times are 7–21 business days from payment confirmation. Custom orders, private label, or large volumes may require 30–60 days.

Freight Forwarders

We work with reputable international freight forwarders. Buyers may nominate their own forwarder under EXW or FOB terms.

Insurance

Cargo insurance is included under CIF terms. For other Incoterms, we strongly recommend buyers arrange their own cargo insurance.

Customs & Import Duties

All import duties, taxes, and customs clearance fees at the destination are the sole responsibility of the buyer unless DDP terms are agreed.

Packaging

All products are professionally packaged for international export with appropriate moisture and temperature protection where required.

Risk of Loss: Risk of loss or damage to goods passes from IRANCO to the buyer at the point defined by the agreed Incoterm. IRANCO is not responsible for delays caused by shipping carriers, customs authorities, weather events, or other circumstances beyond our control once risk has transferred.

Returns, Claims & Refunds

Claim Procedure

Inspect Immediately

Inspect all goods upon arrival and before clearing customs or accepting delivery from the carrier.

Document Issues

Photograph any damage, discrepancy, or quality issue clearly before opening or using the product.

Notify Within 7 Days

Submit a written claim to info@iranco.com within 7 calendar days of receiving the goods, including photos and description.

Provide Documentation

Attach your commercial invoice, packing list, and carrier's proof of delivery with your claim submission.

Resolution Within 14 Days

We will assess your claim and propose a resolution — replacement, credit note, or partial refund — within 14 business days.

Valid Claim Grounds

  • Goods significantly different from approved samples
  • Weight or quantity shortfall exceeding 2%
  • Products below agreed quality certification standards
  • Damaged goods caused during IRANCO's handling
  • Incorrect products shipped

Non-Returnable Situations

  • Claims submitted after the 7-day window
  • Damage caused by the buyer or carrier after risk transfer
  • Products used, opened, or altered by the buyer
  • Change of mind or market conditions
  • Perishable goods handled improperly by buyer

Quality Guarantees & Certifications

IRANCO Premium guarantees that all products are sourced, handled, and exported in accordance with the certifications applicable to each product. We provide certificates of analysis (COA) with every shipment upon request.

Halal Certification

All food products carry internationally recognized halal certification. Certificates are available per shipment.

ISO 22000 / HACCP

Our facilities and processes comply with ISO 22000 food safety management and HACCP principles.

ISO 3632 (Saffron)

All saffron products are tested and certified to ISO 3632 international standards for coloring strength and purity.

Organic Certification

Organically designated products carry certification from accredited bodies. Certificates available upon request.

Pesticide Testing

Products are tested for 300+ pesticide residues per EU MRL standards. Lab reports available on request.

Custom Certifications

We can arrange additional certifications (Kosher, vegan, GMP, FDA) for qualifying products — contact us for details.

Natural agricultural products may exhibit natural variation in color, size, aroma, and flavor between harvests and growing regions. Such natural variation does not constitute a quality defect and is not grounds for a claim, provided the product meets the agreed certification standards.

Intellectual Property

All content on the IRANCO Premium website — including text, images, product photography, logos, videos, data, and design elements — is the exclusive property of IRANCO Premium or its content licensors and is protected by international copyright, trademark, and intellectual property laws.

  • Sharing our website links on social media or trade directories
  • Printing product information for internal business evaluation
  • Using our content for non-commercial educational reference with attribution

🚫 Prohibited Uses

  • Reproducing our product images or descriptions on competitor websites
  • Scraping or bulk downloading our product catalogue or pricing data
  • Using our brand name, logo, or trademarks without written permission
  • Creating derivative works based on our proprietary content

Prohibited Uses

You may not use our website or services for any of the following purposes:

Fraudulent, deceptive, or misleading inquiries or orders

Resale of our products in violation of export control laws

Any unlawful purpose or activity in your jurisdiction

Reverse engineering, scraping, or copying our website or system

Attempting to gain unauthorized access to our systems

Submitting false information on inquiry or sample request forms

Harassment or abuse of our staff members

Using our platform to facilitate money laundering or sanctions evasion

Violating any applicable national or international export control regulations

Creating fictitious identities or companies to obtain samples or pricing

Limitation of Liability

This section limits IRANCO Premium's legal liability to you. Please read it carefully.

To the maximum extent permitted by applicable law, IRANCO Premium, its directors, employees, agents, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, goodwill, data, or business opportunities — arising from your use of our website or services.

Our total cumulative liability to you for any claim arising from our services shall not exceed the value of the specific order or transaction to which the claim directly relates.

Delays or losses caused by customs clearance, shipping carrier issues, or force majeure events

Losses resulting from the buyer's failure to comply with import regulations in their destination country

Market price fluctuations after an order is confirmed and paid

Website downtime, technical errors, or data inaccuracies on our site

Third-party service failures including freight forwarders, payment processors, or inspection agencies

Indemnification

You agree to defend, indemnify, and hold harmless IRANCO Premium, its officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees — including reasonable legal fees — arising out of or relating to:

  • Your violation of these Terms of Service
  • Your use of our products or services in a manner not permitted by these terms
  • Your violation of any applicable law, regulation, or third-party rights
  • Your failure to comply with import regulations in your destination country
  • Any misrepresentation made by you to us or any third party

Dispute Resolution

Direct Negotiation (Step 1)

We encourage all parties to first attempt to resolve disputes through direct good-faith negotiation. Please contact our export team at info@iranco.com with a clear description of the issue. We commit to responding within 5 business days.

Mediation (Step 2)

If direct negotiation does not resolve the dispute within 30 days, either party may request non-binding mediation through a mutually agreed international mediator or chamber of commerce.

Arbitration (Step 3)

Any unresolved disputes shall be submitted to binding arbitration under the rules of the International Chamber of Commerce (ICC). Arbitration shall be conducted in English and the seat of arbitration shall be agreed upon by both parties.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Islamic Republic of Iran, without regard to its conflict of law provisions. For international trade disputes where a different jurisdiction is mutually agreed upon, the United Nations Convention on Contracts for the International Sale of Goods (CISG) may apply.

The English version of these Terms of Service shall be the governing and authoritative version. Translations are provided for convenience only and shall not be legally binding.

Force Majeure

Neither party shall be liable for any failure or delay in performance of its obligations under these terms to the extent such failure or delay is caused by events beyond its reasonable control, including but not limited to:

Natural disasters (earthquakes, floods, droughts)
Acts of war, armed conflict, or terrorism
Government sanctions or export restrictions
Strikes, labor disputes, or industrial actions
Pandemic or epidemic health emergencies
Port closures or major shipping disruptions
Power outages affecting production facilities
Crop failures or severe harvest disruptions

The affected party shall notify the other in writing within 5 business days of the force majeure event. Both parties shall use reasonable efforts to mitigate the impact. If force majeure continues for more than 60 days, either party may terminate the affected order with a pro-rata refund.

General Provisions

Entire Agreement

These Terms of Service, together with any confirmed purchase order and our Privacy Policy, constitute the entire agreement between you and IRANCO Premium regarding the subject matter herein.

Severability

If any provision of these terms is found to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these terms shall not constitute a waiver of those rights. A waiver of any breach shall not be a waiver of any subsequent breach.

Assignment

You may not assign or transfer your rights or obligations under these terms without our prior written consent. We may assign our rights to any affiliate or in connection with a merger or acquisition.

Notices

All formal notices to IRANCO Premium shall be sent by email to info@iranco.com or by registered mail to our registered address in Isfahan, Iran.

Language

These Terms of Service are written in English. In the event of any inconsistency between the English version and any translation, the English version shall prevail.
